Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Careific website at careific.com, the Careific Employee Portal, and related services (collectively, the "Services"), provided by Careific ("Careific," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for businesses and their authorized personnel, and for individuals who are at least 18 years old. By using the Services you represent that you meet these requirements and that any information you provide is accurate.

2. The Employee Portal

The Employee Portal is provided to authorized staff and administrators of facilities that use Careific. Portal accounts are provisioned by a facility administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to: (a) use the Services in violation of any law or regulation; (b) attempt to gain unauthorized access to the Services or other accounts; (c) interfere with or disrupt the integrity or performance of the Services; (d) use any automated means to access or scrape the Services without our permission; or (e) use the Services to transmit unlawful, infringing, or harmful content.

4. SMS / text messaging program

By enrolling in the Careific text-notification program through the Employee Portal, you agree to these messaging terms:

• Program. Careific sends recurring operational text messages, including shift reminders and handoffs, medication-round alerts, task assignments, compliance reminders, and incident notifications. We do not send marketing or promotional text messages.
• Consent. You opt in by providing your mobile number and affirmatively agreeing at enrollment. Consent is not a condition of employment or of any purchase.
• Message frequency varies based on your role and facility activity.
• Message and data rates may apply based on your carrier and plan.
• Opt-out. Reply STOP to any message to unsubscribe at any time. You may receive a single confirmation that you have been unsubscribed.
• Help. Reply HELP for assistance, or email support@careific.com.
• Supported carriers may vary, and carriers are not liable for delayed or undelivered messages.
• Your information is handled in accordance with our Privacy Policy. We will not share mobile opt-in data with third parties or affiliates for their marketing purposes.

5. Intellectual property

The Services, including all content, software, and the Careific name and logo, are owned by Careific or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works without our permission.

6. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

7. Limitation of liability

To the maximum extent permitted by law, Careific will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Services.

8. Indemnification

You agree to indemnify and hold harmless Careific and our officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms.

9. Changes to the Services and these Terms

We may modify or discontinue the Services at any time. We may also revise these Terms from time to time; changes are effective when posted with a revised effective date. Your continued use of the Services after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in California, unless otherwise required by applicable law.
